1 Definitions and Acceptance

"VidForgeX," "we," "us," and "our" refer to the operator of the VidForgeX platform and associated services. "Service" refers to all features, tools, interfaces, and outputs made available through VidForgeX, including but not limited to media upload, automated analysis, and reporting capabilities. "User," "you," and "your" refer to any individual or entity that accesses or uses the Service.

By registering for an account or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy.

2 Description of Service

VidForgeX is an AI-powered media analysis platform that enables users to upload video and other media files and receive automated insights, annotations, and analytical outputs. The platform is designed to serve a range of domains including, but not limited to, sports performance analysis, investigative and forensic review, training and coaching applications, and other professional use cases.

The features, scope, and availability of the Service may vary based on the subscription tier or plan you have selected and are subject to change in accordance with Section 10 of these Terms.

3 Account Registration and Responsibilities

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process and keep that information up to date.
• Maintain the confidentiality of your account credentials, including your password, and not share them with any third party.
• Notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account.
• Accept full responsibility for all activity that occurs under your account, whether or not authorized by you.
• Not create accounts using automated means or for the purpose of circumventing usage limits or access restrictions.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are being used in violation of these Terms.

4 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not use the Service to:

• Upload, transmit, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Upload content that infringes upon any third party's intellectual property rights, privacy rights, or other proprietary rights.
• Introduce malicious code, viruses, or any software designed to disrupt, damage, or gain unauthorized access to any system or data.
• Attempt to reverse-engineer, decompile, or extract the underlying algorithms, models, or source code of the Service.
• Use the Service in any manner that could impose an unreasonable or disproportionate load on our infrastructure.
• Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent.
• Use automated scripts, bots, or other tools to interact with the Service in a manner not expressly permitted.
• Process media depicting individuals without appropriate rights, consents, or legal authority to do so.

We reserve the right, without prior notice and at our sole discretion, to remove content or suspend access for any User found to be in violation of this policy.

5 User Content and Ownership

You retain full ownership of all media files, data, and other content that you upload to the Service ("User Content"). These Terms do not transfer any intellectual property rights from you to us.

You represent and warrant that: (a) you own or have the necessary rights and permissions to upload and process the User Content through the Service; (b) the User Content does not violate any third-party intellectual property, privacy, or other rights; and (c) you have obtained all necessary consents where applicable, including from individuals depicted in any uploaded media.

You are solely responsible for the legality, reliability, integrity, and appropriateness of all User Content you submit to the Service.

6 License to Process User Content

By uploading User Content to the Service, you grant VidForgeX a limited, non-exclusive, royalty-free, worldwide license to access, store, reproduce, and process your User Content solely for the purposes of: (a) providing the analysis and insights you have requested; (b) operating, maintaining, and improving the technical performance of the Service; and (c) complying with applicable legal obligations.

This license is limited in scope to the activities necessary to deliver the Service to you and does not grant us the right to sell, commercially exploit, or disclose your User Content to third parties for independent purposes, except as described in our Privacy Policy or as required by law.

You may delete your User Content at any time, subject to any retention obligations required by applicable law. Upon deletion, we will remove your content from our active systems in accordance with our data retention practices.

7 AI Output Disclaimer

The analysis, insights, annotations, and other outputs generated by the Service ("AI Outputs") are produced by automated artificial intelligence systems and are provided for informational purposes only.

The accuracy and reliability of AI Outputs may vary depending on the quality, resolution, and nature of the uploaded media, as well as the limitations inherent in automated analytical systems. We make no representations or warranties regarding the completeness, accuracy, or fitness for purpose of any AI Output.

8 Service Availability — "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or free of harmful components; (b) the results obtained from use of the Service will be accurate or reliable; or (c) any defects in the Service will be corrected.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDFORGEX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10 Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you via email or a prominent notice within the Service.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may close your account.

11 Intellectual Property of the Service

All rights, title, and interest in and to the Service — including its software, algorithms, interfaces, design, trademarks, and documentation — are and remain the exclusive property of VidForgeX and its licensors. Nothing in these Terms grants you any right, license, or interest in or to the Service itself beyond the limited right to use it in accordance with these Terms.

The VidForgeX name, logo, and associated marks are trademarks of VidForgeX. You may not use them without our prior written permission.

12 Termination

Either party may terminate the relationship under these Terms at any time. You may close your account by contacting us or through the account management settings within the Service.

We may suspend or permanently terminate your access to the Service, without notice or liability, if we determine at our sole discretion that you have violated these Terms, engaged in fraudulent activity, or that continued access poses a risk to the Service or other users.

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including intellectual property, limitation of liability, and dispute resolution — shall continue to apply.

13 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service shall first be subject to good-faith negotiation between the parties. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration or adjudication in the competent courts of the applicable jurisdiction, as permitted by law.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us in connection with specific features or services, constitute the entire agreement between you and VidForgeX with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements, understandings, and representations.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of VidForgeX.
